Sponsorship Agreement - Terms & Conditions
I am interested in being a sponsor of the Kids Consignment Sale by Mothers of Multiples Society (MOMS). I agree to the following terms and conditions:
Sponsor agrees to submit its logo/advertisement for use in the following outlets: sale marketing, products/promotional areas, including social media and poster signage at the sale, no later than FOUR WEEKS PRIOR to the sale, to receive full sponsorship benefits.
Sponsor agrees to have its booth set up at least 30 minutes prior to the sale start times. Sponsor understands that entrance to the building on Saturday is subject to the availability of venue staff and cannot be granted prior to 7:00 A.M.
Sponsor understands that it is responsible for securing and maintaining its own personal and/or business liability insurance for business purposes. Sponsor understands that it will not be covered, under any circumstances, by MOMS liability policy.
Sponsor understands that, though MOMS will make every effort possible to ensure the security of its sponsor space, MOMS does not assume any responsibility or liability for any sponsor's property, including, but not limited to, table displays, goods/products, money/money boxes, cash registers, computer equipment, credit card readers, personal effects, etc. Sponsor understands that it is responsible for any products and equipment that it chooses to bring while on the premises of the MOMS event. Sponsor understands that security will not be provided from Friday night after the sale closes until Saturday when it reopens. Lockers are available in the event building but Sponsor must provide its own lock.
Sponsor understands that it is fully responsible for providing any products, equipment or marketing materials to be displayed at the table.
Sponsor understands it is responsible for the collection of any money owed it as well as the collection, reporting and payment of any applicable sales taxes due the state, county and/or city/municipality.
MOMS cannot guarantee the provision of electrical outlets or internet connection for use during the sale. The use of mobile POS systems, such as Square or PayPal, and mobile hotspots is highly recommended. Please check with your cell service provider to find out if they can provide an adequate signal and data usage limits for use with any mobile services prior to sale day.
Sponsor agrees to advertise its participation in this event to its customer base through email, newsletters, social media and other means and to encourage its customers to visit the event as well as invite friends to visit. Sponsor agrees to guarantee the integrity of all marketing materials provided by MOMS and agrees that it will not alter any artwork provided by MOMS.
Sponsor space is limited and available on a first-come-first-serve basis. Table location on the sales floor will also be assigned/selected on a first-come-first-serve basis (upon receipt of payment). Sponsor’s table is for showcasing its business only; tables cannot be shared with other businesses. Doing so will result in the nullification of the sponsor’s agreement and forfeiture of its sponsor space.
Product, service or business type exclusivity is guaranteed upon online registration with payment. Full payment is due at time of space reservation. In the event of cancellation more than 30 days from the sale, MOMS will attempt to re-sell the space, provided all other booths are committed. Within 30 days of the sale, no refunds are permitted.
Any shopper attendance estimates and demographic information given is based on prior sale attendance. MOMS makes no guarantee regarding the number or demographics of shoppers that will attend the sale.
Refunds will not be given for any reason. Refunds will be given if sale is cancelled due to COVID-19. As MOMS is a 501(c)(3) non-profit, all donations of goods/services are considered tax deductible and a portion of your sponsor fee may also be considered tax deductible. Please consult your tax professional regarding this possibility.
MOMS reserves the right to refuse any business, product, service or language.
As a matter of safety and liability, children (with exception of nursing infants) are not allowed at the sponsor booths.
All communication regarding the Douglas County Events Center should be routed through the MOMS marketing representative. No sponsor or sponsor representative should directly contact the Events Center staff.
Sponsor will assume all costs, expenses and damages arising from the use of dramatic rights, patented, trademarked, franchised or copyrighted music, materials, devices, or processes used at the Event and agrees to indemnify, defend and hold MOMS, its officers and agents harmless from any claims or costs, including legal fees, which might arise from the use of any such material. The MOMS logo may not be used on any promotional material without express written consent.
Any crafts or other products that will be given out during the event must comply with product laws set forth in HR4040 of the Consumer Product Safety Improvement Act of 2008. Sponsor agrees to indemnify MOMS for any and all damages, returns or loss of revenue resulting from actions regarding items provided by the Sponsor.
Sponsors are invited to shop the MOMS Sale early. Please contact firstname.lastname@example.org exact time. No unpaid merchandise is allowed to be at a booth.
